As a Compliance Specialist, you will help strengthen Vexere’s legal and regulatory foundation, ensure transparent operations, and safeguard the company’s interests. Your role is crucial in supporting cross-functional teams, driving compliance excellence, and positioning Vexere as a trusted pioneer in digitizing passenger transport in Vietnam and beyond.

JOB DESCRIPTION

1. Contract-related Legal Work

  • Negotiate, draft, and review a wide range of contracts (service, technology, SaaS, OTA partnership, e-commerce, payment integration, purchase & sale, etc.).
  • Provide official legal opinions with clear reasoning and highlight risks before documents are submitted for signature.
  • Monitor contract execution, approval flows, and ensure proper storage in line with internal procedures.

2. Internal Legal Consulting

  • Advise departments on laws and regulations related to technology products, digital platforms, payment solutions, and operations.
  • Anticipate legal issues, analyze scenarios, and propose practical, business-oriented solutions.
  • Review internal policies, documents, and communications with potential legal implications to ensure compliance and minimize risks.

3. License & Legal Document Management

  • Handle applications for new/renewal/amendments of business licenses, software/IT-related licenses, and other regulatory requirements.
  • Manage corporate documents including business licenses, sub-licenses, company charters, resolutions, etc.
  • Maintain physical and digital filing systems with accuracy, security, and compliance to retention schedules.

4. Compliance & Risk Management

  • Support the Legal team in implementing compliance frameworks related to data privacy, cybersecurity, e-commerce, and consumer protection.
  • Monitor regulatory changes affecting technology platforms and propose necessary adjustments.
  • Assist management in risk assessments and audits when required.

5. Other Duties

  • Perform other assignments as required by the Head of Legal or company leadership.

REQUIREMENTS

1. Legal Background

  • Bachelor of Laws required. Master of Laws (LL.M.) or postgraduate degree in Law is a strong advantage.
  • Lawyer Training Certificate or having passed the Vietnamese Bar Apprentice Examination is highly preferred.
  • Solid knowledge of Civil Law, Commercial Law, Enterprise Law, Labor Law, and general corporate operations.
  • Familiarity with industry-specific regulations, especially:
    • Software & Information Technology law (data protection, cybersecurity).
    • E-commerce and OTA (online travel agency).
    • Digital/online payments, e-wallets, and intermediary payment services.
    • Advertising, consumer protection, and regulations on digital platforms.

2. Professional Experience

  • 5 years of professional experience in legal & compliance, preferably in technology, e-commerce, OTA, or software companies.
  • Proven track record in contract negotiation and risk assessment, including SaaS agreements, OTA partnerships, and payment integration contracts.
  • Experience working with state authorities in licensing, IT-related compliance, and corporate filings.

3. Core Legal Skills

  • Ability to quickly analyze documents and clearly articulate legal risks with evidence-based reasoning.
  • Strong drafting skills: precise, structured, and detail-oriented.
  • Confidence in defending legal positions in cross-functional and external discussions.

4. Soft Skills & Attitude

  • Clear communication (verbal & written), logical reasoning, and critical thinking.
  • Professional integrity, confidentiality, and resilience in high-pressure situations.
  • Service-oriented but assertive when safeguarding company interests.
