SENIOR LEGAL & COMPLIANCE OFFICER
Vexere is the largest bus ticketing and OTA platform in Vietnam, partnering with over 1,000 transport operators across 3,000+ routes. We operate at the intersection of technology, payments, data, and e-commerce.
At Vexere, Legal is not a back-office function. Legal defines risk boundaries, protects business scalability, and enables high-velocity growth without compromising compliance.
We are seeking a Senior Legal & Compliance Officer who can independently own complex legal matters and architect scalable contract frameworks that reduce operational bottlenecks within the Legal function.
Role Mission
This role exists to independently own high-risk and strategic contracts, architect scalable contract frameworks, optimize legal review workflows, and enable business teams to operate within clear and enforceable legal guardrails.
You are expected to exercise independent legal judgment within defined risk parameters and escalate only material or strategic matters.
JOB DESCRIPTION
- High-Stakes Contract Management
You are the primary legal contact for complex, high-impact deals. You draft, negotiate, and close – independently and decisively.

- SaaS and technology agreements
- Payment integration and intermediary payment contracts
- OTA partnerships and revenue-sharing models
- Data processing agreements, including cross-border arrangements
- High-value commercial contracts
You determine acceptable risk positions within defined internal parameters and provide structured legal opinions before execution. You do not over-escalate.
- Contract Architecture & Templates
You build systems – not just documents. Your work reduces repetitive review cycles and empowers non-legal teams to move faster without creating risk.

- Design and institutionalize contract templates and fallback clause libraries
- Develop red-flag checklists and structured guidance for business teams
- Continuously refine templates to shorten turnaround and reduce back-and-forth
- Legal Operations
You identify bottlenecks before they become blockers.

- Improve review turnaround time while maintaining quality standards
- Collaborate with business teams to ensure structured, complete contract submissions
- Contribute to workflow optimization across Jira and internal approval systems
- Regulatory Compliance
You translate law into practical guidance the business can act on.

- Data protection and privacy (PDPA)
- E-commerce and consumer protection regulations
- Technology and digital platform regulatory requirements
You monitor legal developments and proactively bring relevant changes to the team before they become problems.
- Risk & Pre-Dispute Support

- Identify legal risks in commercial transactions and propose mitigation strategies
- Support pre-litigation handling and evidence preparation when necessary
- Coordinate with external counsel when required
REQUIREMENTS
Experience
- 5+ years in Legal & Compliance, with strong exposure to tech, SaaS, OTA, digital platforms, e-commerce, or payments
- Proven track record in handling high-risk and strategic contracts independently
- Direct experience negotiating English-language agreements with foreign partners
- Background in fast-paced, high-growth companies preferred
Legal Capability
- Strong contract drafting and structuring skills in both Vietnamese and English
- Ability to analyze complex clauses and clearly articulate risk to non-legal stakeholders
- Comfortable with independent decision-making within defined risk parameters
- Confident in cross-functional discussions and external negotiations
Mindset
- Decisive and risk-aware — you don’t need to escalate everything
- Business-oriented without compromising legal integrity
- Structured thinker who can operate with autonomy under pressure
- Bachelor of Laws required; Lawyer Training Certificate is a plus
